Get Rid of message: There is another company file on your co |

Google was not helpful this time.
I'm running Win XP Pro. Using QB99 Pro and QB2005 Pro. I use only one
company name, therefore, there are company files (copies and backups) with
this one company name on my PC.Made a copy of a QB99 file. Put it on another
drive(G). Opened the QB99 company file from within QB2005 on drive C to
convert it to a QB2005 company file. Went through the steps to get the free
one-time tax table download. No problem.
A few days later, out of habit, I worked in QB99. Realized I wanted this
info to be in QB2005. Instead of manually entering the same (minor) updates
into QB2005, I removed the 2005 company file from C:\Program
Files\Intuit\QuickBooks 2005 and then (made a copy first) opened the QB99
file (again) from within QB2005 to convert it to a 2005 company file. I
thought everything was fine. Until the next day.
Somehow, I think I changed something in the Payroll area. Don't ask me how,
I have no clue. Unless:
I do not yet have employees, but do have an FEIN which I tried to add to my
existing company information through Payroll Setup. Maybe this is where I
messed up. Now, every time I try to access anything to do with employees I
get this message:

! - There is another company file on your computer that is subscribed to
QuickBooks Payroll. You may be able to add this company file to that
subscription. Would you like to learn more? YES NO

I click YES. I get this message:

i - You cannot create paychecks until you choose a payroll option for this
company file [PS039] etc.

How do I get rid of these annoying messages? I tried "Add to my
subscription". I tried "New Payroll Option". I think this just made things
worse. If it will help, I'll go back in time to a recent restore point, but
would rather not have to do this. Who knows what I'll lose doing this? If I
replace the current company file with the one on my laptop, do you think
this will fix the problem? (yes, it is legal to have 2 installs of the same
QBs on different computers belonging to the same user)
BTW, there is no second company file in the C:\Program
Files\Intuit\QuickBooks 2005 folder. All other "same name" company files
(qbw) have dates added to them to make them unique. I think because I
removed the first converted company file and reopened a second QB99 file to
convert it, and then did something in payroll(?) QBs thinks there is a
second company file subscribed to payroll.
Help Please! I'm almost bald from pulling my hair out... TIA
